General Terms and Conditions

Welcome to the GPI Oman website and digital platform available at gpioman.com.

These terms govern use of the website, client portal, services, packages, investment and real estate opportunities, payments and communications made through the platform.

Please read these terms carefully before creating an account, submitting a request, uploading documents or making any payment.

1- Definitions

For the purposes of these terms:

  • Website: gpioman.com and all its pages and digital services.
  • Platform: the website, client portal and associated systems.
  • User: anyone who browses the website or uses any part of it.
  • Client: a person or company requesting or paying for a service.
  • Investor: a person or entity viewing an investment opportunity, requesting information about it or taking steps to invest in it.
  • Opportunity provider: the project owner, developer, company or person submitting an opportunity for display on the platform.
  • Service: any professional, administrative, investment or real estate service provided by GPI Oman.
  • Investment opportunity: a project, asset, partnership, franchise, property or investment proposal displayed for preliminary information.
  • Quotation: the document or page specifying the service scope, price and fees.
  • Government fees: amounts payable to ministries, authorities, municipalities, free and economic zones and other official bodies.
  • Third party: an independent entity involved in providing the service, such as a translator, lawyer, accountant, developer, bank or shipping company.
  • Client portal: the online account allowing clients to track orders, documents and payments.
  • Investor journey: an online display of a service's or opportunity's stages, status and expected steps.
  • Content: text, images, files, data, information and opportunities published on the platform.

2- Acceptance of the terms

A user is considered to accept these terms when they do any of the following:

  • Use the website or client portal.
  • Create an account.
  • Select the electronic agreement checkbox.
  • Submit a service request or expression of interest.
  • Upload documents or data.
  • Accept a quotation.
  • Make an electronic payment.
  • Reserve a service or opportunity.
  • Continue using the platform after an effective update is published.

If a user does not agree to these terms, they must stop using the website and must not submit any request or payment.

These terms do not diminish mandatory rights that cannot be waived under the laws of the Sultanate of Oman.

3- Legal capacity

A user creating an account, requesting a service or making a payment must:

  • Be at least eighteen years old.
  • Have full legal capacity.
  • Provide accurate information.
  • Be legally authorised to act for themselves or the entity they represent.
  • Be authorised to use the payment method.
  • Not be legally prohibited from obtaining the requested service.

A minor may not independently enter into a contract, make a payment or provide their data. Procedures must be carried out through their guardian, custodian or legal representative in accordance with the minors' privacy policy.

4- The role of GPI Oman

GPI Oman provides professional, administrative and organisational services and may act in each transaction as:

  • A provider of company formation, licensing and visa services.
  • A coordinator between the client and competent authorities.
  • A platform displaying services and opportunities.
  • An introduction or referral intermediary between investors and opportunity providers.
  • A coordinator of services delivered by independent parties.
  • A real estate broker or marketer within the limits of its licence and agreement.
  • An authorised representative within the scope of written authorisation.

GPI Oman is not a government body, bank, finance company, investment manager, securities adviser, exchange or crowdfunding platform unless expressly stated otherwise with details of the appropriate regulatory licence.

5- Available services

Platform services may include:

  • Company formation and commercial registration.
  • Registration of foreign company branches.
  • Company formation in free and economic zones.
  • Activity-related licences and approvals.
  • Visas and residence permits for investors, employees and families.
  • Document review, translation, attestation and notarisation.
  • Preparation of bank account opening files.
  • Administrative and operational support after incorporation.
  • Display of investment opportunities.
  • Matching investors with opportunities.
  • Coordination with project owners and developers.
  • Real estate and marketing services.
  • Subscriptions for listing properties and projects.
  • Coordination of legal, financial and technical due diligence.
  • Additional services specified in the quotation.

The quotation, contract or service page determines the final scope of each service.

6- Account creation and client number

A user may create a client portal account and receive a unique client number.

Depending on the service, the account is linked to:

  • Client details.
  • Orders and services.
  • Selected opportunities.
  • Payments and invoices.
  • Documents and correspondence.
  • Completion status.
  • Appointments and notifications.
  • Reports and results.

Multiple accounts must not be created to circumvent restrictions, conceal identity or misuse the platform.

GPI Oman may merge or suspend duplicate accounts after verifying their owners' identities.

7- Account responsibility

The client must:

  • Provide accurate, current information.
  • Keep passwords and verification codes confidential.
  • Not share the account with an unauthorised person.
  • Keep their email address and telephone number up to date.
  • Immediately notify the company of any unauthorised use.
  • Review the activities and orders recorded in the account.

Actions taken through an account are considered to have been performed by its owner unless the owner reports that it has been compromised and proves otherwise.

The company may request additional verification before carrying out a sensitive transaction or changing account details.

8- Verification and compliance

Before accepting or while performing an order, GPI Oman may request:

  • Proof of identity and address.
  • Passport or identity card.
  • Commercial registration and company documents.
  • Beneficial owner details.
  • Source of funds or wealth where needed.
  • Nature of the activity and purpose of the transaction.
  • Authorisation or power of attorney.
  • Any information required for legal and regulatory compliance.

The company may delay, suspend or reject an order if:

  • Verification procedures are incomplete.
  • The client's identity cannot be verified.
  • Information is conflicting or inaccurate.
  • Fraud or forgery is suspected.
  • The order involves a prohibited or unlawful activity.
  • Required by law, the bank or the payment provider.

The company is not obliged to disclose details of internal review procedures if disclosure is prohibited or could harm compliance procedures.

11- Submission and acceptance of orders

Submitting an order does not mean it is automatically accepted.

An order is not finally accepted until:

  • Its information has been reviewed.
  • The service scope has been determined.
  • The quotation has been accepted.
  • The required payment has succeeded.
  • Documents are complete.
  • Verification requirements have been met.
  • The company has confirmed commencement of work.

The company may reject an order inconsistent with its activities, licences, policies or applicable laws.

12- Scope of service

GPI Oman's obligations are limited to the work expressly specified in:

  1. The signed contract, if any.
  2. The approved quotation.
  3. The service or package page.
  4. The order confirmation.
  5. Approved written correspondence.

The service does not include work not expressly mentioned, even if related to the client's overall objective.

The following are separate services or costs unless the quotation expressly includes them:

  • Government fees.
  • Translation, attestation and notarisation.
  • Additional licences.
  • Specialist legal or tax advice.
  • Due diligence.
  • Preparation of a feasibility study.
  • Asset valuation.
  • Objections, appeals and litigation.
  • Accounting and audit services.
  • Opening a bank account.
  • Shipping and international delivery.
  • Third-party services.

13- Changes to the service scope

If the client changes the activity, number of investors, ownership, location or instructions after work begins, the company may:

  • Amend the scope of work.
  • Issue an additional quotation.
  • Adjust the estimated timeframe.
  • Suspend work pending the client's approval.
  • Charge for work completed before the change.

The company is not obliged to make a material change within the original price.

14- Prices

Prices are displayed in Omani rials unless stated otherwise.

The price may comprise:

  • GPI Oman fees.
  • Government fees.
  • Third-party costs.
  • Translation and attestation fees.
  • Shipping fees.
  • Payment or transfer fees.
  • Value added tax where applicable.

The total or estimated amount is shown before payment based on the available information.

The price may be adjusted before order acceptance if government fees, requirements or the scope of service change.

15- Government fees and third-party costs

Government fees and third-party costs are separate from GPI Oman's fees, even if collected in a single payment.

These amounts are non-refundable once actually paid or committed, unless returned by the recipient.

If official fees change or additional requirements arise, the client must pay the difference before the service continues.

The company may not deduct government fees or third-party costs that have not actually been paid or committed.

16- Electronic payment

When completing payment, the client acknowledges that they:

  • Are authorised to use the payment method.
  • Have reviewed the service description and price.
  • Have agreed to the related terms and policies.
  • Have authorised GPI Oman to start work after successful payment.
  • Understand which fees are refundable and non-refundable.

Payments are processed through an independent bank or payment provider and may be subject to that provider's terms and policies.

A service is not considered paid if the transaction fails, is reversed or declined, or the funds do not reach the company's account.

17- Currencies and exchange rates

If payment is made in a currency other than the Omani rial, the bank or payment provider may apply its own exchange rate and fees.

GPI Oman is not responsible for:

  • Exchange rate differences.
  • Card-issuing bank fees.
  • International transfer fees.
  • Differences arising when a refund is made in another currency.

Any refund due is calculated according to the original transaction records and in the original currency where possible.

18- Invoices and receipts

The company issues a receipt or invoice after receiving payment, in accordance with applicable laws.

Clients must review the invoice and report errors within a reasonable time.

An invoice does not guarantee government approval or the success of an investment opportunity; it records the amount and the service or payment entered.

19- Commencement of work

The company may start work once:

  • Payment has succeeded.
  • The order has been accepted.
  • Necessary documents have been received.
  • Verification is complete.
  • Required authorisation has been obtained.

Starting consultation, review, preparation, coordination or submission makes fees for the completed stage payable under the Cancellation and Refund Policy.

20- Estimated timeframes

Any timeframe shown on the website or quotation is an estimate unless the company commits in writing to a specific date.

The timeframe starts once the following are complete:

  • Documents.
  • Payments.
  • Signatures.
  • Approvals.
  • Verification requirements.

Timeframes may change because of government, bank, embassy, free zone or other third-party procedures.

21- Government and regulatory decisions

The client acknowledges that accepting or rejecting a registration, licence, visa, residence permit, approval or banking application is the responsibility of the competent authority.

GPI Oman does not guarantee:

  • Acceptance of an application.
  • Issuance of an approval.
  • That no additional documents will be requested.
  • That fees will remain unchanged.
  • Completion within a specific government timeframe.
  • Acceptance of a particular activity, profession or nationality.
  • Opening a bank account.

The professional part of the service is considered complete if the company correctly performs the specified work, even if the competent authority rejects the application for a reason not attributable to a direct error by the company.

22- Client obligations

The client must:

  • Provide accurate and complete information.
  • Provide original or certified documents when requested.
  • Disclose information affecting the service.
  • Review applications before signing them.
  • Respond to the company promptly.
  • Pay fees when due.
  • Comply with the law.
  • Not provide forged or misleading documents.
  • Not use the service to conceal a beneficial owner or the source of funds.
  • Notify the company of any material change.

The client bears the consequences and costs arising from incorrect, incomplete or late information they provide.

23- Client portal and investor journey

The client portal displays order status for tracking and organisational purposes.

Statuses may include:

  • Order received.
  • Under review.
  • Awaiting documents.
  • In preparation.
  • Submitted.
  • Under review by the competent authority.
  • Additional requirements.
  • Approved or decision issued.
  • Delivered or closed.

The portal status does not replace the official decision or document issued by the competent authority.

The status may be corrected if a technical or administrative error is discovered.

24- Provision and delivery of services

Delivery takes place through one of the following:

  • The client portal.
  • Registered email.
  • Approved WhatsApp channel.
  • Collection at the office.
  • A shipping company.
  • Making the document available in the competent authority's system.
  • Notifying the client that the result has been issued.

A dispatch, upload, receipt or shipping record constitutes preliminary evidence of delivery.

The client must review deliverables and notify the company of errors within five working days, without affecting mandatory rights or the company's liability for a proven error.

25- Investment opportunities

Investment opportunities are displayed for preliminary information and to connect investors with project owners.

Displaying an opportunity does not constitute:

  • A guarantee of project success.
  • A promise of profits.
  • A binding personal recommendation.
  • A final valuation.
  • A public invitation to purchase securities.
  • A substitute for legal, financial and technical due diligence.
  • A guarantee that all the opportunity provider's information is accurate.
  • A guarantee of a licence, residence permit or financing.

Investors are responsible for making their decisions after appropriate due diligence and consultation with their advisers.

26- Financial activities and securities

GPI Oman does not provide securities, portfolio management, public fundraising, crowdfunding or financial brokerage services except within the limits permitted by law and after obtaining the required licence.

If an opportunity involves:

  • Shares or equity interests offered to the public.
  • Bonds or sukuk.
  • Investment units.
  • Crowdfunding.
  • Management of funds for others.
  • A regulated financial product.

Its completion is subject to approval and licensing by the competent regulator. Publication on the website must not be regarded as regulatory approval.

The company may remove or suspend an opportunity if it requires a licence that is not available.

27- Investment funds

Payment of GPI Oman fees or reservation fees does not automatically confer ownership of a share, asset or property.

The principal investment amount must not be paid to GPI Oman unless:

  • A separate contract provides for this.
  • The company's capacity is clearly defined.
  • An approved lawful collection mechanism exists.
  • Company fees are separated from investment funds.
  • Required licences and regulatory requirements have been met.

Otherwise, the principal investment is paid directly to the owner, developer, escrow account or licensed entity under the opportunity-specific contract.

GPI Oman is not a depository, escrow account or custodian unless expressly stated under a licence and separate agreement.

28- Opportunity reservation fees

The opportunity page or reservation agreement must specify:

  • The reservation fee amount.
  • The beneficiary.
  • Whether the fees are refundable.
  • The reservation period.
  • Cancellation conditions.
  • The next stage.
  • Whether the fees are deducted from the final price.

If these details are unavailable, payment does not constitute a final purchase of the opportunity.

Reservation fees are subject to the opportunity's specific terms, the refund policy and mandatory laws.

29- Due diligence

GPI Oman's preliminary checks are limited to the available information and documents and do not constitute due diligence.

Before making a decision, investors should consider obtaining:

  • Legal due diligence.
  • Financial and accounting due diligence.
  • Tax due diligence.
  • An independent valuation.
  • A feasibility study.
  • A technical or engineering review.
  • A review of contracts and licences.

These services may be coordinated through independent parties for a separate fee.

30- Information and projected returns

Some opportunities may include projections, studies or target returns supplied by the opportunity owner.

This information is estimated and may depend on future assumptions. GPI Oman does not guarantee its realisation.

Investors must not rely solely on projected returns and should assess risks, liquidity, costs, obligations and market conditions.

31- Opportunity and project providers

The opportunity provider warrants that:

  • Their information is accurate and not misleading.
  • They have the right to offer the project.
  • They hold the required licences and approvals or clearly disclose their status.
  • Images and documents do not infringe others' rights.
  • Returns or figures have a basis that can be explained.
  • Material risks and obligations have been disclosed.
  • The offering does not contravene securities, investment or consumer protection laws.

GPI Oman may request additional evidence or amend, suspend, reject or remove the offering.

32- Third-party content

Some opportunity and property data may rely on information supplied by the owner, developer or opportunity provider.

The company takes reasonable care in organising and presenting information but does not guarantee the accuracy of every item that it did not originate.

If the company becomes aware of inaccurate or unlawful information, it may suspend or remove the content and investigate it.

33- Real estate services

GPI Oman may provide property search, coordination, marketing or brokerage services in accordance with its licence and agreement.

Purchasing property is subject to:

  • Buyer eligibility.
  • Property location.
  • Ownership type.
  • Competent authority approval.
  • The sale contract.
  • Developer terms.
  • Registration and transfer of ownership.
  • Applicable fees and taxes.

The company does not guarantee property appreciation, rental, returns or residence status.

34- Developers and property listing providers

The developer or listing provider is responsible for:

  • The accuracy of the property description.
  • Their right to list it.
  • Specifications and area.
  • Price and payment plan.
  • Construction and handover status.
  • Licences and guarantees.
  • Disclosure of fees and obligations.

Listing a property on the platform does not constitute a GPI Oman guarantee of the developer or project.

35- Property and project listing subscriptions

A listing provider may subscribe to monthly or annual packages to display projects.

Subscriptions do not guarantee:

  • A particular number of views.
  • A particular number of expressions of interest.
  • Completion of a sale.
  • A return.
  • Permanent placement in a specific position unless agreed.

The company may suspend a listing if the subscription expires, fees are unpaid or content breaches the terms.

36- Banks and account opening

The bank account service is limited to file preparation and initial coordination as agreed.

The bank decides whether to open or reject an account or request further documents.

GPI Oman does not guarantee:

  • Account opening.
  • The time needed to open it.
  • Account type.
  • Available banking services.
  • Acceptance of the source of funds.

37- External service providers

The company may engage independent parties to perform part of a service.

These parties may include:

  • Lawyers.
  • Accountants.
  • Translators.
  • Notaries.
  • Valuers.
  • Engineers.
  • Shipping companies.
  • Real estate developers.
  • Technology and payment providers.

Where appropriate, the company clarifies whether the third party contracts directly with the client or with GPI Oman.

38- External links

The website may contain links to external services or websites, such as:

  • Government portals.
  • WhatsApp.
  • Google Maps.
  • Banks.
  • Payment providers.
  • Developers.
  • Service providers.

GPI Oman does not control external websites. Their use is governed by the operator's terms and policies.

39- Cancellation and refunds

Cancellation and refund requests are subject to the Cancellation and Refund Policy published on the website.

In general:

  • Government fees are non-refundable once paid.
  • Third-party costs are non-refundable once incurred or committed.
  • GPI Oman fees are calculated according to the completed stage of work.
  • The unused balance that is due is returned.
  • Approved refunds are processed within 14 working days, allowing for the bank's or payment provider's processing time.

If a specific written term conflicts with the general policy, the specific term prevails provided it does not contravene the law.

40- Bank disputes

Clients must contact GPI Oman when disputing a payment to give the company a reasonable opportunity to investigate and resolve it.

A transaction must not be described as unauthorised if it was performed by the client or someone authorised by them.

The company may provide consent records, the quotation, invoice, correspondence and evidence of work to the bank or payment provider.

This does not prevent clients from exercising their legitimate banking and legal rights.

41- Duplicate payments

If an amount is debited twice due to a proven technical error, the duplicate payment is refunded in full after verification, without deducting service fees.

The client must provide references for both transactions or a statement proving the duplicate debit.

42- Orders halted because of the client

If the client does not provide required documents, information or approvals, the company may suspend the order after notifying them.

If the client does not respond for 90 days, the order may be closed and fees for the completed stage and actual costs calculated.

Reopening is subject to prices and requirements applicable at that time.

43- Suspension or termination of service

GPI Oman may suspend or terminate an account or order if:

  • The user breaches these terms.
  • They provide incorrect documents.
  • They fail to pay amounts due.
  • They misuse the platform.
  • They threaten staff or behave inappropriately.
  • Fraud, money laundering or unlawful financing is suspected.
  • They request an unlawful action.
  • They infringe intellectual property rights.
  • The competent authority requires it.
  • Continuing the service is legally or technically impossible.

Amounts are settled according to work completed, fees paid and the law.

44- Prohibited uses

The platform must not be used for:

  • Any unlawful activity.
  • Fraud or impersonation.
  • Uploading forged documents.
  • Raising funds without a licence.
  • Misleading promotion.
  • Hacking systems.
  • Distributing malware.
  • Automated data extraction without consent.
  • Attempting to access others' accounts.
  • Misusing the trademark.
  • Sending spam.
  • Violating others' privacy.
  • Circumventing fees or restrictions.

The company may take appropriate technical and legal action in the event of a breach.

45- Intellectual property

Rights in the website, platform, trademark, text, designs, software, templates and databases belong to GPI Oman or its licensors.

Without written consent, users must not:

  • Copy content for commercial purposes.
  • Resell it.
  • Create a copy of the platform.
  • Use the trademark or logo.
  • Extract the database.
  • Remove ownership notices.
  • Use content to mislead clients.

After paying amounts due, the client receives the right to use deliverables prepared specifically for them for their intended purpose.

46- User-provided content

Users remain responsible for the content and documents they upload.

The user grants GPI Oman limited authority to process, store, use and share that content to the extent necessary to:

  • Provide the service.
  • Operate the platform.
  • Communicate with competent authorities.
  • Comply with the law.
  • Protect rights.
  • Retain required records.

The user warrants that they have the right to provide the content and that it does not infringe others' rights.

47- Privacy

Personal data processing is governed by the Privacy Policy and minors' privacy policy published on the website.

By using the platform, the user acknowledges that they have read how data is collected, used, shared and retained and what rights they have in relation to it.

Acceptance of these terms does not automatically constitute marketing consent; separate marketing consent is obtained where required.

48- Platform security

The company takes appropriate measures to protect the platform but does not guarantee that the internet or systems are entirely free from:

  • Failures.
  • Malware.
  • Interruptions.
  • Hacking attempts.
  • Technical errors.
  • Connection loss.

Users must use a secure device and not share login details.

49- Website availability

The company may temporarily suspend the website because of:

  • Maintenance.
  • Updates.
  • Failures.
  • Security requirements.
  • Orders from competent authorities.
  • Causes beyond its control.

The company does not guarantee uninterrupted availability of every feature but seeks to restore service within a reasonable time.

50- No reliance on general content

Articles, guides and general information published on the website are for educational purposes and do not constitute tailored legal, financial or tax advice.

Users should obtain specialist advice before making a decision based on their particular circumstances.

51- Limitation of liability

To the extent permitted by law, GPI Oman's liability is for proven direct damage resulting from an error for which the company is responsible.

The company is not liable for:

  • Indirect losses.
  • Anticipated profits.
  • Loss of an uncertain business opportunity.
  • Government decisions.
  • Bank or developer decisions.
  • Third-party information.
  • Delays beyond its control.
  • Incorrect information supplied by the client.
  • Use of documents for purposes other than those intended.
  • Changes in laws, fees or requirements.

This clause must not be interpreted as excluding liability that cannot legally be excluded or diminishing mandatory consumer rights.

52- Compensation for breaches

To the extent permitted by law, the user or opportunity provider bears direct losses and costs resulting from:

  • Forged information or documents they provide.
  • Lacking the right to offer an opportunity or property.
  • Infringing others' rights.
  • Unlawful use of the platform.
  • A material breach of these terms.
  • Claims arising from content they supplied that is proven inaccurate.

This clause does not apply to losses arising from an error for which GPI Oman is responsible.

53- Force majeure

Neither party is responsible for delay resulting from circumstances beyond reasonable control, such as:

  • Natural disasters.
  • Epidemics.
  • Wars or unrest.
  • Telecommunications or power outages.
  • Government system failures.
  • Sudden government decisions.
  • Closure of ports of entry or embassies.
  • Widespread cyber incidents.

Timeframes are extended to reflect the impact of the circumstances, and the service may be settled if performance becomes impossible.

54- Notices

Notices may be sent through:

  • Email.
  • The client portal.
  • Text messages.
  • WhatsApp.
  • The registered address.
  • A notice displayed on the website.

A message is considered properly sent when addressed to the registered contact details, unless a sending error is proven.

Users must keep their details up to date.

55- Updates to the terms

The company may amend these terms due to:

  • Changes in the law.
  • Service development.
  • New features.
  • Changes in payment methods.
  • Regulatory requirements.

The updated version is published with its effective date.

Amendments apply to new orders from their publication date. Existing orders remain governed by the version accepted when ordering, unless a change is legally required or agreed by both parties.

56- Order of precedence

In the event of a conflict, precedence is as follows:

  1. The signed specific contract.
  2. The opportunity or reservation agreement.
  3. The approved quotation.
  4. Service-specific terms.
  5. These general terms.
  6. The Cancellation and Refund Policy.
  7. The service or opportunity description.
  8. General website content.

No precedence applies if it would result in a breach of a mandatory legal provision.

57- No waiver

The company's failure or delay in exercising a right does not constitute a waiver.

A waiver is effective only if made in writing by an authorised person.

58- Severability

If a provision is found invalid or unenforceable, the remaining terms remain effective.

The unenforceable provision is replaced with a lawful provision achieving the closest possible lawful purpose.

59- Assignment and transfer of rights

Clients may not transfer their order, rights or obligations to another person without the consent of GPI Oman and competent authorities where required.

The company may transfer some execution work to a qualified service provider while retaining legal responsibilities that cannot be transferred.

60- Complaints and amicable settlement

Complaints may be submitted through:

A complaint must include:

  • Client name.
  • Client or order number.
  • Description of the problem.
  • Supporting documents.
  • Action requested.

The company seeks to review and respond to complaints within a reasonable time.

This does not prevent the user from approaching the Consumer Protection Authority or the competent regulatory or judicial authority.

61. Governing law and jurisdiction

These terms are governed by and interpreted in accordance with the laws of the Sultanate of Oman.

The parties will first seek an amicable settlement. If this is not possible, the competent authorities and courts in Oman have jurisdiction, subject to jurisdiction rules and mandatory consumer rights.

62- Language

These terms may be provided in multiple languages to make them easier to understand.

The Arabic version is the reference in the event of a translation discrepancy, to the extent permitted by law and unless a specific contract states otherwise.

63- Entire agreement

These terms, together with the quotation, contract and related policies, constitute the agreement governing use of the platform and service.

No oral promise or unauthorised message is relied on if it conflicts with accepted written documents.
